Arkadi Kuhlmann – Chairman and President of ING DIRECT USA

Affectionately referred to as "The CEO of Savings" by ING DIRECT associates, Arkadi is the Chairman and President of ING DIRECT USA, the retail bank that offers simple financial products direct to consumers over the telephone and internet. In a nation full of spenders, Kuhlmann is dedicated to inspiring all Americans to be a nation of savers. When ING DIRECT's online banking concept was introduced to the United States in 2000, analysts predicted it would be a failure. Nine years later, under Kuhlmann's leadership, ING DIRECT has grown to become the country's largest savings bank, with more than $90 billion in assets, and has led more than 7.7 million Customers back to saving.

Prior to ING DIRECT, Arkadi's experience includes high-level corporate and academic positions. He served as President of North American Trust and CEO of Deak International Incorporated and held various executive positions at the Royal Bank of Canada. His academic experience includes teaching at the American Graduate School of International Management (Thunderbird) in Phoenix, Arizona, where he was a professor of International Finance and Investment Banking.

Arkadi received an Honors B.A. in Business Administration along with an MBA from the Richard Ivey School of Business at the University of Western Ontario, Canada. He serves as chairman of the board of ING DIRECT Canada, and is a member of the Global Management Team for ING DIRECT N.V. and of the ING DIRECT N.V. Supervisory Board. He is on the ING Foundation Board, ING Americas Advisory Board, ING Direct Council, and the ING Group Leadership Council. Additionally, he chairs the Advisory Board of the Richard Ivey School of Business.

Arkadi has had a positive influence on the banking industry by breaking the traditional mold to lead Americans back to saving, and also has had a significant impact on Wilmington, Delaware, the location of ING DIRECT's U.S. headquarters. By choosing to renovate historic buildings at the Wilmington Riverfront, Arkadi has helped transform the area surrounding the Amtrak train station to create a booming commercial center that has prompted national companies to relocate there. Under Arkadi's leadership, ING DIRECT has expanded into four buildings in Wilmington and is one of the state's leading employers.

Instead of having stodgy bricks-and-mortar branches with line-ups, Arkadi chose to create architecturally award-winning cafés where Customers can experience ING DIRECT and enjoy a cup of coffee. Arkadi established the Cafés, located in Los Angeles, New York City, Philadelphia, Chicago, Honolulu, St. Cloud, Minnesota, and Wilmington, Delaware, to underscore the fact that opening an account with ING DIRECT is as easy as having a cup of coffee. In addition to whipping up lattes, Café Associates are able to provide information on the company's savings, mortgage, loan, and mutual fund products. Café visitors can even purchase products to make their lives better and simpler, ranging from computer security software and financial literature to lunch pails and mountain bikes. This is just one more way that Arkadi inspires consumers to view banking as simple, easy, and even fun.

Robert Cortimember, Board of Directors

Robert Corti is Chairman of the Avon Foundation, an organization established in 1955 to fund programs for economic opportunity and the physical and emotional well-being of women. Robert had been previously employed by leading, international cosmetics company Avon Products, Inc. from 1976 through 2006. During his tenure he held a number of positions and in 1998 was appointed Executive Vice President and Chief Financial Officer, a position he held until his retirement in 2006.

In 2003, 2004, and 2005, Robert was rated one of the top two Chief Financial Officers in the Cosmetics, Household, and Personal Care Products sector by Institutional Investor magazine, a selection based on evaluations provided by 950 research analysts and 400 sell-side analysts.

Mr. Corti is a member of the Board of Directors and Chairman of the Audit Committee of Activision, Inc., a leading international publisher of interactive entertainment software. Additionally, he is a member of the Board of Directors of Bacardi Limited, an international spirits company where he serves on both the Audit and Compensation committees. He additionally serves on the Boards of the Queens College and Valtarese Foundations and is a member of the Holy Cross New York Executive Council and the Board of Advisors of the Appalachian Mountain Club.

Mr. Corti is a Certified Public Accountant. He received his B.A. in Accounting, cum laude, from Queens College and earned an M.B.A in Taxation from St. John’s University in 1984.

Shannon FairbanksLead Director

Shannon Fairbanks is the founder of The Fairbanks Investment Fund, a private equity firm which creates minority investment partnerships with European family-owned companies. From 1990 to 2000, Fairbanks was a partner in firms affiliated with the U.S.-based private equity firm, Keystone. Prior to joining Keystone, Fairbanks served in a number of U.S. government positions, including as Executive Director of the Federal Home Loan Bank Board, a major U.S. federal bank regulatory agency that oversaw the savings and loan industry, and the Federal Savings and Loan Insurance Corporation, the insurance fund for the savings and loan industry (1983 - 1987). Mrs. Fairbanks served as Deputy Assistant Director for Economic Policy on the White House Domestic Policy Staff of President Ronald Reagan (1981 - 1983).

Fairbanks currently serves on the Board of ING Bank, fsb (ING DIRECT), where she is Lead Director; and on the Boards of Clarion Industries, Modelabs Group, and Invectys, SA. She is also a member of the Board and Executive Committee of the French-American Foundation in New York (2002 - present), a Board member of the French-American Foundation in France (2006 - present), a member of the National Committee of the Aspen Music Festival (2001 - present), and a member of the International Women's Forum in Washington, D.C. (1996 - present).

Stephen D. Harlan – member, Board of Directors

Stephen D. Harlan is a partner in Harlan Enterprises, LLC, a specialized real estate firm that provides finance, investment and advisory services to commercial real estate investors, users and owners.

Prior to joining Harlan Enterprises, LLC in 2001, Mr. Harlan was chairman of the real estate firm H.G. Smithy from 1993 to 2001. Prior to H. G. Smithy, he was Vice Chairman of KPMG Peat Marwick, responsible for its international business. Mr. Harlan served on KPMG's International Council, Board of Directors and Management Committee as well as Chairman of KPMG's International Strategic Planning Committee. Before assuming his Vice Chairman responsibilities in 1987, he served for twelve years as the Managing Partner of KPMG's Washington, D.C., operating office.

Mr. Harlan serves on the "for profit" boards of ING Bank, fsb (ING DIRECT), Sunrise Senior Living, Inc. and Harris Interactive, Inc. He also serves on the "not-for-profit" boards of Heroes Inc., Carnegie Endowment for International Peace, Loughran Foundation and the Greater Washington Board of Trade. Mr. Harlan is past chairman of the Council for Court Excellence, founding Chairman of Leadership Washington, past president of the Greater Washington Board of Trade, the National Capital Area Health Care Coalition, the Community Foundation of Greater Washington, and the Cultural Alliance of Greater Washington. He served as a member of the advisory board of the American University and the board of trustees of the United States Council for International Business. In 1995, President Clinton appointed Mr. Harlan to the District of Columbia Financial Responsibilities and Management Assistance Authority (D.C. Control Board) where he served as Vice Chairman of the Board until his term expired in 1998.

Dick H. Harryvan member, Board of Directors

Dick Harryvan has been a member of the ING DIRECT Board of Directors and CEO of ING Direct N.V. since April 2006.

From 2005 to 2006, Mr. Harryvan was CFO and Chief Risk Officer of ING Direct N.V. Prior to that, he served as General Manager of ING Direct N.V., where he was responsible for the development and implementation of the ING Direct retail banking strategy internationally. From 1993 to 1995, Mr. Harryvan worked as General Manager responsible for a start-up bank in Greece, and was responsible for the development and implementation of ING's international retail banking strategy.

In addition to his career at ING Direct, Mr. Harryvan served as a Director for ING's insurance business, Nationale-Nederlanden N.V. International, in the Netherlands. Prior to that, he held executive positions with ING insurance companies in Canada and the USA, with responsibilities for corporate development, operations, and information systems.

Lars Kramermember, Board of Directors

Lars Kramer was appointed Chief Financial Officer of ING Direct NV and a member of the Global Management Team, effective May 1, 2008. Lars has an excellent track record within ING where he started in 1998 as Head of Asian Equity Derivatives Product Control in Hong Kong. After several career steps he became Chief Financial Officer and Managing Director for Wholesale Banking Asia based in Singapore in 2003. In this function he has also been a board member of ING Vysya Bank Ltd and acted in an advisory capacity to the Bank of Beijing.

Eli Leenaarsmember, Board of Directors

Eli Leenaars was appointed to the Management Board Banking in 2009. As of 1 January 2010 he is chief executive officer Retail Banking Direct and International. Prior to this appointment, Mr. Leenaars was a member of the Executive Board of ING from April 2004-June 2009. He began his career with ING Bank in 1991 and later held various management positions, including chairman of ING Poland and of ING Latin America.

Eli Leenaars graduated with a Master's degree in Dutch law from the Catholic University of Nijmegen (the Netherlands) and a LL.M from the European University Institute in Florence. He also completed a programme for management development at Harvard Business School in Boston.

Eli currently serves as Treasurer of VNO-NCW Confederation of Netherlands Industry and Employers and Treasurer of the Trilateral Commission (Europe). He is a board member of Concertgebouw of Amsterdam and board member of the Foundation VU University Medical Center's Cancer and Alzheimer Centers of Amsterdam.

James Millsmember, Board of Directors

Jim Mills has been active in training and consulting for the last 17 years with both non-financial corporations and commercial banks in the areas of treasury management, asset/liability management and financial risk management. His banking clients have included American Express, Bank of America, Canadian Imperial Bank of Commerce, Citibank, North American Trust Bank and the International Finance Corporation. He has done extensive bank training through the auspices of the Institute of Canadian Banking and the Emigrates Bank Training Institute and the Bankers' Association for Foreign Trade. Mr. Mills has participated in bank consulting projects in the United States, Canada, Turkey, Russia and Bangladesh.

Michael S. Shannon – member, Board of Directors

Mr. Shannon founded KSL Capital Partners in 2004 and founded its predecessor KSL Recreation Corporation in 1992, serving as its President and Chief Executive Officer. KSL Capital Partners is a $1.6 billion private equity firm which invests in the hospitality, real estate and leisure industries.

Mr. Shannon founded and became Chief Executive Officer of KSL Resorts in 2004 following the sale of KSL Recreation. Prior to establishing KSL Recreation, he served as President and CEO of Vail Associates, Inc. (owner of Vail and Beaver Creek Resorts) in Vail, Colorado, from 1986 to 1992.

He currently serves on the Board of Directors of ING Direct, Safeway, Inc., the Vail Valley Foundation, the United States Ski and Snowboard Association and Eisenhower Memorial Hospital. He is a past Director of Conseco, Inc., TCA Cable TV, Inc., Startek, Inc. and ING Americas Holdings. Mr. Shannon is a member of the Young Presidents' Organization.

He holds a Bachelor of Business and Administration from the University of Wisconsin and a Master of Management in Accounting and Finance from Northwestern University's Kellogg School of Management.

Regina Sommermember, Board of Directors

Reggie Sommer has been a leader in the high technology and accounting industries for more than twenty five years. Most recently, she served as Chief Financial Officer for Netegrity, Inc., a publicly held provider of security software for the enterprise. Ms. Sommer currently serves on the Board of Directors of Wright Express Corporation, a publicly held provider of payment processing and information management services to the U.S. commercial and government vehicle fleet industry, and SoundBite Communications, a publicly held provider of automated customer contact solutions that are fully hosted and available on-demand. Reggie is a CPA and member of the National Association of Corporate Directors, Women Corporate Directors, Financial Executives Institute, the AICPA and the Massachusetts Society of Certified Public Accountants.
